The TSX Venture Exchange has accepted for filing the company's proposal to issue 2,104,398 common shares to settle outstanding debt for $398,362.50.

Number of creditors: One creditor

Insider: Resource Capital Fund V LP, $398,362.50, 2,104,398 shares at 18.93 cents

The company shall issue a news release when the shares are issued and the debt extinguished.
