This whole attempt by FNs seems pretty desperate to me. A shallow scare tactic and nothing else. They have no right to interfere with this transaction that is solely between Cliffs and Noront. It's like if a neighbor sold me his house for 1/2 price and another guy down the street trying to stop the sale claimng he should have been offered it first because he has lived there longer.
