I am not sure what the true intent of 90% is but it seems to be a standard percentage in Canadian takeovers.

"• if a bidder does not reach a 90% ownership level in a bid for a Canadian tar- get, a second-step shareholders’ meeting to approve the transaction will be required, whereas in a bid for a U.s. target incorporated in delaware, a second- step shareholders’ meeting would not be required as long as the bidder reaches majority ownership and certain other requirements are met."
