RECOMMENDATION TO SHAREHOLDERS

The members of the Board of Directors of Noront Resources Ltd. who voted on the matter unanimously recommend that Shareholders NOT TENDER their Common Shares to the Offer.

Any Shareholder who has tendered their Common Shares under the Offer should WITHDRAW such Common Shares.
