The Amendment amends the II-VI Merger

Agreement to require Purchaser to commence the Offer

within twelve (12) Business Days,

as such terms are defined in the II-VI Merger Agreement, after the date of the

II-VI Merger Agreement.

Based on the date of the filing Feb 1st, that would put it at Feb 16th, 2016. Very interesting indeed.
