From my perspective I think PC may continue to yield some benefit and value as an ongoing member of the Board of Directors. The Board does need a diversified set of skill sets for a number of reasons.

However, if I recall correctly (please correct me if I'm wrong) I believe he continues to be compensated under some sort of retainer-type consulting agreement which would imply ongoing and regular involvement in the day to day operations of Poet. If this is not the case and he is truly removed from day-to-day operations, then I believe the amount of the retainer is too much for providing services as a Director. Directors fees for attending board and sub-committee meetings should be sufficient.

I think it is fair for etops and others for that matter to challenge whether or not there is a need to continue with the retainer fee. This is likely at the root cause for questioning PC's continued involement given a burn rate that will continue to increase as Poet's operations mature.

Having said all that, I believe that Ajit is compensated similarly (retainer/salary) as a Co-chairman so do we start to question that as well..........I think not
