I agree that closing is material and should be disclosed but there have been other material events that haven't been disclosed and obviously, the company didn't observe them as material.

Payzone - You were providing services and invoicing them for same. They had the services so no pressure to pay. In this case, they won't get the shares until they pay. If they hesitate, the only issue is that we have to find alternate financing which we have to anyway.
