I think Hugh said that about 75M votes were cast for the board nominees. And 101M votes were withheld. He said that institutions and funds will usually withhold their votes for directors.

For directors, you could vote FOR or WITHHOLD. There was no AGAINST option. Same with appointment of auditors... FOR or WITHHOLD. The rights plan had different choices; you could vote FOR or AGAINST.
Incidentally, the vote on the rights plan was 124M for, and 51M against.
