The names of Directors are put forward for consideration at Annual General Meetings (AGM), and shareholders vote FOR or AGAINST them. The Board itself can put forth names; shareholders can do the same, I believe.
Unfortunately I wasn't aware of all of the "credentials" of the members of the Spider BOD.
However, two things can be done with regards to this issue.
"Shareholder resolutions" can be written up and presented to the BOD (no lawyer required). Secondly, just like the effort this year when Resolution #12 was voted AGAINST, the same shareholder action can take place prior to the next AGM.
