Ultimately, there are reasons why a RS would have negative implications. There are also reasons why a RS would have positive implications.
Novak must believe that the positive implications outweigh the negative in order to have considered this. Simple as that. He is invested in the company too, so if the stock price plummets as a result of a reverse split, he would be hurt just as much (presumably?) as any of the rest of us. How many shares does he own right now, including FD options that he can potentially exercise? So if he is willing to take the risk of having his shares devalued, he must presumably know some information that would lead him to think that the shares (and therefore his stake) will NOT be devalued.
The only question in my mind is whether or not the retail investors will become privvy to this knowledge. Maybe, maybe not.
I am not going to form a clear opinion yet. While the situation seems suspicious, I have to believe that what is good for Novak is good for me, if we can assume that the ownership of shares is the only key issue. And therefore, while I am not yet convinced, I believe that there MIGHT be a reason why this proposal is a good idea. Maybe we just haven't figured it out yet.
