Koo and Toniv had a couple of related questions (see below). My understanding that post reorganization, Zenith Capital Corp not only holds the Royalty Preferred Shares, but will also hold the 34.4 million common shares of Zenith Epigenetics Ltd. Nowhere in the reorganization does it state that current holders of Zenith Epigenetics Corp common shares will receive common shares of Zenith Epigenetics Ltd., but will instead receive common shares of Zenith Capital Corp.

This raises a few issues. 1) Will Zenith Capital Corp own these common shares of Zenith Epigenetics Ltd or will current holders of Zenith Epigenetics Corp common shares own these? 2) If Zenith Capital Corp does own these common shares of Zenith Epigenetics Ltd, which will initially be private, will these shares of Zenith Epigenetics Ltd be allocated to shareholders of Zenith Capital Corp when Zenith Epigenetics Ltd goes public with an IPO? 3) Does the 34.4 million shares of Zenith Epigenetics Ltd represent a 1 for 3 reverse split? 4) If so, is this reverse split for the purpose of increasing the value of individual shares of Zenith Epigenetics Ltd to meet Nasdaq listing requirements?
