Extremely difficult to get an agreement between two parties and with technology changing frequently, I have my doubts if that would be consided in the calculation.
It may be more appropriate to agree to a per unit fee or a percent of revenue as a license on future transaction. This will take care of major technology changes and be fair to both parties.
