Vic, Just so happens a guy I know explained this process to me no less than a week ago.

After a long, stressful, travel intensive, and successful career, these guys have the ability and opportunity to step away from the daily grind of running a company, and begin to take on more of a consultant type of relationship with companies in their field. They way they do this is join the BODs of several companies who could benifit from their experience and advice. They are compensated a nominal annual dollar amount but are granted stock which is their incentive.
