I like your scenerio except Fred not being able to to anything about missing the filing dates. Do you think he didn't want to request an extention for fear of publishing  the problem? I think he could have done so  in general terms.

I don't think the end of the world comes from missing an extention request. There must be a procedure by which you can regain the good graces of the SEC.
