DuetothecomplexityofmerginganAmericancompany,regulatedintheUSjurisdictionwithanIsraelicompanywhichissubjecttoitsownregulatoryprocedures,theattorneysrepresentingSDEIncaremakingchangestotheAgreementbywhichBlackbirdwillmergewithacompanybearingthenameWaveElectricityRenewablePowerOcean(WERPO).ShmuelOvadiaexplains,“ThisCompanyshallownallofSDE’stechnology,IPandknow-how,aswellasallofSDE’sholdingsinitssubsidiaries,andwillbeassignedallofSDE’sactivityandagreements.”

ThePartiesarepleasedtoannouncethattheyhavesignedtheAgreementbywhichBlackbirdacquiresalltheoutstandingsharesofWaveElectricityRenewablePowerOcean.

TheAgreementisbindingandirrevocableandshallbecomeeffectiveSeptember30,2014followingarequiredregulatorydelay.Therearenofurtherproceduresorconditionstobemet.
