I will go with G4G's response. To my understanding, and depending upon justisdiction, terms regarding the notices involving public company meetings can differ somewhat. Generally, however, an annual general meeting (AGM) addresses routine annual business, like re-elections of board members and appointment of outside accountants. These meetings can be expensive for small companies, and are often more promotional than substantive, so some smaller companies will not have "annual meetings" (depending upon what state laws are relative).
A special meeting is just that, and is called at the descretion of an authorized person or persons according to the by-laws of the corporation. While routine business may be discussed, a proposal to increase authorized shares is far from routine, and by it's nature requires a special meeting - not that all special meetings address the subject of changing authorized shares.
Having said that, you will note from your experience that announcements of a shareholder gathering are sometimes publicized as an "Annual and Special Meeting" - in some cases simply as a "Special Meeting".
