Paragraph 17.2

The directors may meet together for the dispatch of buisness, adjourn and otherwise regulate their meetings as they think fit. Questions arising at any meeting shall be dicided by a majority of votes. In case of an equality of votes the chairman shall not have a second or casting vote. Meetings of the Board held at regular intervals may be held in such a place, at such a time and upon such notice , if any, as the Board may by resolution from time to time determine

Paragraph 17.3

A director may participate in a meeting of the Board or of any committee of the directors by means of conference telephones or other communications facilities by means of which all directors participating in the meeting can hear each other and provided that no director objects to such participation. A director participating in a meeting in accordance with this article shall be deemed to be present at the meeting and shall be counted in the quorum therefor and be entitled to speak and vote thereat.
