Insider selling would have to stop at a time when ARU is planning a financing so in effect, both conditions exist together & not independently. Insiders know ARU plans so they make their sales at this point in time because this is their last chance to make a sale before entering financing negotiations.

Notie Girl has it right. A holder of stock must file beginning when they go above 9.9%.
