Message: Why Their will be No Announcement of a Buy Out at the AGM

Oooga that is not possible due to the fact that Teck is a public company and must report any acquisitions on their balance sheet and what price they paid for them. eg If Teck bought EE shares at significantly higher prices than the prevailing market there will be a lot of questions from their shareholders about that purchase.  SEC rules also require disclosure of any company or individual accumulating 10% or more shares of a publicly trading company.

For Teck to make an asset purchase under SEC rules they would have to send a proposal (letter of intent ) to Cuu management to review.  Upon review of that its up to Cuu management to advise all shareholders of their recommendations  ( for or against ) and call a special meeting for a vote. Shareholders can do this electronically or by mail to vote their shares.

Furthermore Cuu management must provide supporting documentation for their recommendations. This would include FS studies, third party independent evaluations, results of the optimization studies etc to justify to all shareholders why they feel the offer is a fair value if they do indeed recommend a sale.   Since Cuu management has not released any of this (results of the optimization studies) and there are no plans to get a third party independent evaluation of SC one can only conclude that no offer is on the table at this time.
