You are talking about a required CUU vote.  There is no vote if the largest share holder sells out.   CUU doesn't have to review the deal.  They have no say in it.  Even for Teck no vote is needed.

It happened to one of my holdings like 15 years ago(can't remember the name)  But shortly after the deal the company ended up going private.
