The board fixes the vesting period at the time of grant. It appears that most recent grants have a three year vesting period, with 1/3 vesting each year for three years.

Having actually read the whole thing, it makes sense to me and I will be voting in favor. I suspect that the major shareholders (Tradewinds, et. al) will also, as we must compensate via cash or less cash + options.
