You are aware that a Board can approve a resolution or press release electronically? Like every time the company puts out a press release, the board doesn't have to meet - you can distribute the press release and any related resolutions to them via email. Any resolutions required can be reviewed by them electronically and agreed upon. The signed paper can then be mailed to the company or sometimes the signatures are completed at a meeting. Can you imagine if every time the board put out something, they had to schedule a meeting and meet in person? It's ridiculous, no company does that.
