"I have never heard of any company that would research whether the Company hired to do the consulting was actually set up as a legal entity."
That alone speaks volumes to the differences in our perspectives. I can't think of an instance of any company I've worked for or for any company that hired us, for which we didn't solicit marketing information and references of the companies we hired, or where we weren't required to provide similar, and including our licensing info, for companies that hired us. Typically, the most basic of research would be done on the company if we were to hire them or if we were to be hired, and at times, depending on the scope of the work to be provided, in depth research would be done. Certainly enough to determine whether the company existed.
I'd assume a strategic assessment of the operations of PDSG is going to include exposure to most aspects of PDSG's operations, and perhaps even PTSC's, and include strategic plans, company secrets, proprietary information, etc. Taking that assumption into account, even if I take your point of view that they hired Baroni, and he said, "I'd like to run this through my LLC", we're not talking about a private company here that can take whatever risks it deems fit, but a public one that is owned by shareholders and that is subject to all kinds of disclosure rules and standards. That you see a simple check into the status of the company that they've gone to the trouble of deliberately and SPECIFICALLY citing in the PR as an atypical measure, yet you've parsed over the wording and meaning of countless other PR's, in the past, is remarkable.
It literally took me less than a couple of minutes to determine that there was no LLC registered under that name anywhere in Maryland. And as for IR, it's not that they had no answer, their answer was that they were not in a position to respond to the inquiries. I hope and actually EXPECT that the status of the LLC will prove to be a non-issue. Unfortunately, however, like most other issues, if in the unlikely event that it were to prove to be an issue, I also expect that we'll WILL find out in writing, but it will be too late at that point.
Ultimately, this issue has little to do with Baroni, and everything to do with PTSC's decision making and reporting, which continue to be an issue. That they take so little care in these simple tasks, in my opinion is indicative of what they're doing on others issues as well.
