I agree with what you have to say. However, my thought was this: What if the D&O policy is coming up for renewal and the insurance company finds out that shareholders are unhappy and that some are calling for legal action (as often cited on this forum)...might they choose to NOT renew? Different than canceling but the same effect...no insurance.
