With respect to your 4 events that made things difficult:

1. Windfall: What alternative did NOT have?

Continued Surface Drilling would have been very costly given the Style of Geology through out the entire area. Thus, either drill up the entire area and HOPE you were lucky enough to distinctly deliniate discrete Geological structures which would then allow for National Instrument acceptable Geological Modeling of the entire area which then would permit doing an acceptable Resource Estimate. To obtain the needed data very likely, based on the understanding of the area Geology (specific mineralized Veining as well as the Host Rock given the Implacement method(s)) would have (and will have) required hundreds of Drill Holes, if NOT even many more. Alternatively, they could have requested the Government allow them to strip away all the area Boi-mass and Overburden so as to clearly Map ALL Zones of mineralized outcropping which may have then allowed them to better select where to do the Surface Drilling so as to obtain the data needed for the Geological Modeling required for the Resource Estimation. Alternatively, diging a Decline/Ramp would give good indication of the Geological Profile and permit increased efficency in Drilling, with the ability to both Model the Geology reasonably accurately as well as Drift Sampling Mineralized Zones to get very good Resource Estimate Calculations. And with the BONUS of then having the the Decline/Ramp perminently in place allowing very rapid shift from Exploration to actual Moneral Recovery a.k.a. - Mining.

Given the current status of Windfall, I only hope they have NOT stoped the Environmental Assessment work needed to obtain the Permits for the Decline/Ramp and Waste/Leach Pads construction. This data, if completed will do as much to make future rapid progress as will the analysis of the underground Sampling completed prior to placing the Project on C&M.

2. Burn Rate: Infinitely adjustable in virtually real time!

3. JV's:

With such a large Property base requiring specified spending (Government requirement so as to keep ALL Prospective Land in good standing) where virtually ALL the Claims held being the MOST PROSPECTIVE through out the ENTIRE AREA, and having the company organized so economically (very efficiently and cost effectively) there was a need to EITHER have explosive growth in STAFFING (requiring lengthy and intensive time consuming applicant screening and expanded HR capability) or move ahead fast and effectively by doing JV's with competant capable sister Junior Explorers, drawing in their existing Expertise and Cash, where these JV Partners would have a vested interest in being successful in effectively discovering and proving up the potential of the JVed Properties. And all the while allowing NOT to maintain control of ALL their Very Prospective area Property. A WIN - WIN for all involved, and most especially for NOT Share Holders.

4. Going it alone: The best by far means of ensuring Maximum Share Holder Value.

'Going It Alone' would allow for any of a variety of Financing options and would place great pressure on those desiring to get in on this GOOD THING to pay the Premium they should be expected to anty up so as to get in on such a GOOD THING.

The alternative of doing a Sell Out or Sell Off to some larger Company and allow them to develop and thus reap the Real Value would definitely reduce the Full Value due to NOT and ALL it's Share Holders.

Consequently, IT HAS TO BE ASSUMED that the shock and horor the Owners of a few of our somewhat larger Share Holders felt drove them to their clandestine effort to take control away from ALL NOT Share Holders.

And it has to be assumed these individuals have not given up in their efforts to reap most, if not ALL the Real Value otherwise rightly due to ALL NOT Share Holders.

To conclude:

"I'm trying very hard to look at the business without bringing emotions into the equation. I wonder sometimes where we would be today if Richard focused his resources on the ROF. It's a case of rapid growth followed by a loss of control.I believe the company (NOT) is now in control operation but the lack of communication is making shareholders feel that they have no control."

If you recall, Richard DID focus on the RoF and moved very skillfully to ensure NOT was set up to MAXIMIZE Noront Resources and thus ALL Share Holder's Value.

Windfall's Decline/Ramp was a work in progress and well under way when the EAGLE 1 landed! It's objective was also accomplished very efficently, very cost effectively, and in a very timely manner. Windfall was ans is a very good success for the Phase of Exploration achieved to date.

And I do believe Windfall has a very good future. Just NOT the single most important aspect of Noront Resources at this point in time.

Here we are due to Richard's focus on the RoF. He scared the HELL out of the Institutional Kids as seen in the attempted TAKE OVER via the dissident Proxy farce.

We as a company achieved extremely rapid growth, effectively amd efficiently and so far have been able to maintain control. The one fault so far is that Richard is currently NOT the CEO.

As for Control Operation - currently there is a lack of Control or Operation by a united BoD!

And Share Holders are SCREAMING for the BoD to GET THEIR ACT TOGETHER!

Old Joe
