Could I also add, the outgoing CEO will be subject to NDA's from the previous employer. To make things even more complex, they would bhe subject to NDA's by the new company as well. More complexity added and blurring the lines between companies and their individual resultant business lines and technologies.

In plain english.......you have to be very careful what you say in the new company, especially when it comes to anything to do with your previous employer.
