Seems a stretch to me also Lumenge. Large companies need to be agile when it comes M&As. A small buyout like this, for a big company, surely wouldn’t require any vote, only at board level. Otherwise buyouts like this would be very cumbersome. 

I work for a very large US company and they are forever making small acquisitions. I have shares and don’t recall any approach over voting. Only for the massive takeovers has this happened. Perhaps there’s a threshold that if reached requires approval. 

Clearly for POET it’s a massive deal. And therefore we vote.
