maybe an accounting strategy.

kwg doesn't really have to make a new offer as they think possibly cliffs will become interested once more as the amalgamation dates looms closer.

they could assume that the amalgamation will go through as the 2 companies will be stronger. it's up to cliffs to sweat, not kwg
