The problem is not Management having an ownership interest. Their interest should also be served. But, they are only one of the parties at interest and therefore, should not receive benefits that put other ownership interests at disadvantage. Over time, that is precisely what the "Stock Option" plan will do. It takes a fair bit less than 50% interest to effectively control a company.
