"I completely agree, but some SH's received compensation for signing off on the MA too. Anyone and that includes members of the BOD who gained from this should be chastised, in my opinion. All IMO"
I completely DISagree with you on that. Shareholders who had agreements with the company that provided them with approval rights and/or compensation rights would be perfectly ENTITLED to such. If anything, blame the company for agreeing to give them that approval right or compensation right.
DIRECTORS on the other hand, who have a fiduciary responsibility to shareholders, and who at the time were NOT entitled to cash compensation, and who were acting in their ROLES as DIRECTORS, NOT as shareholders, paid consultants, legal representation, etc. etc., neither deserve nor are entitled to such. Additionally, NOW the company, LED BY THOSE SAME DIRECTORS, is legally challenging those same agreements they were compensated for forging. Should the company be legally challenging those directors for return of that money, in addition to suing them for entering in to faulty agreements, or poor oversight, or ???
