This also clarifies why the company's criteria for selecting BoD candidates are as they are, especially when having only the minimum three required number of BoD members.

So it would appear that an appropriate determination of BoD compensation would include the BoD fees and the two committee chair positions, but not the compensation dedicated to interim CEO and CFO nor the associated possible bonus.
