I think that JPM is the representative, in all this game, of a third parti. Why did not action in the name of that third party and came along NOT as deal. Well, you understand that in that case the buyout will be obviously and the SP will follow, which is not convenient for anybody (the offer is a premium of the actual SP) excepting NOT shareholders.
