The possibility of an attempt to take over PTSC on a Reverse Takeover
has been on the table for sometime.
If our BOD refuses the tender offer, TPL would just
by-pass them and go directly to the shareholders with a Proxy.

With the RTO, TPL(IntellaSys) would have majority-control of the BOD,
full control of the MMP through unification of the portfolio,
instant liquidity for R&D of IntellaSys, higher market capitalization, higher company
valuation, higher pps, products on the mkt, recurring revenues and transparent financials.
PTSC would transform itself from a shell company to a solid company in a matter of
a couple of months if not sooner.

If TPL had plans to launch IntellaSys as an IPO,
the process would take a year or more, millions of dollars to one or more
underwriting firms, immediate dilution as a proportion of company's shares,
registration with SEC, involvement of venture capitalists, strong restrictions by
lead underwritter, a "quiet period" of 40 days and legal expenses in milliions of dollars.
Why do that, when an RTO would take approx. 30 to 45 days
to complete, the SEC would stay neutral since
PTSC is already a public company and the RTO is always
treated by the SEC as a form of a merger with minimum legal interruptions.
Not wether if, but when and the when is very near.

To everyone here on agoracom, IMO, this makes sense, so long as TPL offers to pay us what the MMP is valued at.

Is it worth 2 billion, 4 billion? Once we overcome the USPTO hurdle as I believe we will, a RTO does make perfect sense.

Something is brewing IMO and it better be worth the wait in the dark we've all been experiencing.

Very smart people behind the scenes at TPL and PTSC. The BOD/WE better hold out for exactly what we would have received over the next 8 years + a 2 year look back as Dan Leckrone said.

And they must pay us for I/I and Holocome patents if an RTO happens.
