KWG shareholders do not get a vote on the merger. That is part of the reason why it is structured as a purchase by KWG. With it's 20% stake, Cliff's woud have had a much better chance of affecting the vote of KWG than the vote of SPQ.

That being said, given how closely tied the companies now are it would seem to make sense to combine the boards.
