Is the agreement so lopsided in favor of TPL when you consider that TPL is doing all of the work? That is they are performing the reverse engineering, contacting infringers around the world, doing the negotiating, fighting the legal issues, and handling the USPTO reexamination issues. Granted PTSC is paying for their portion of the work. But has anyone considered that TPL may not have agreed to perform the licensing effort had they not had the bulk of control over the MMP when they would have the bulk of the responsibility? Some may assume that PTSC was in the driver seat or at least an even partner when this agreement was made, but at that time I would argue that PTSC was on the ropes and in need of someone with the capabilities of TPL that could undertake the licensing effort as it would be a monumental task of which PTSC was not staffed for. TPL also had Moore as an employee and 50% ownership of the patent. So I would say that looking back to the time when the agreement was made that TPL was very much in the driver seat when making the agreement and PTSC played a minor role due to their dependence on TPL's resources and TPL's involvment with Moore with the other 50% ownership.
