Of course a CEO is supposed to accept feedback from all Board members, even to the point that the CEO should heed and even accept the guidance from the Bod.  So how is a BOD allowed when the (?) "ceo" has all of the "bod" in lockdown with control via surrender via a "power of Atorney" by each membr of the "bod".  Malfeasence at the least.
