I'm sure that the BOD has already thought about a SRP. It's something most all management thinks about. Notwithstanding that inside shareholders do often have different interests that outside shareholders, I sure wouldn't want to try to vote down a purchase offer that the BOD recommends. I would think that the management that is often praised should get the benefit of the doubt on such matters; to think we would know better may be a bit presumptuous. Then again, the corporate/securities laws do require shareholder approval for various actions, and certainly so for a buy out.
I think if an offer comes, there would be plenty of time to marshal those for or against. But it sure wouldn't be close to unanimous, there's always disagreement on such matters. Also, I would be surprised if it were not only a simple majority that would be required to approve a buy out.
